Version 1.0 · Effective October 5, 2026This Website Design & Development Agreement (the “Agreement”) is entered into between Blue Rise Hub Corp. (the “Service Provider”) and the individual or business accepting this Agreement (the “Client”).
This Agreement becomes effective on the date the Client accepts it electronically (the “Effective Date”).
The Service Provider and the Client may each be referred to as a “Party” and collectively as the “Parties.”
1. Services
The Service Provider shall design and develop a business website for the Client.
The Services may include:
Website Design and Development
- Design and development of a business website;
- Mobile-responsive design;
- Up to six (6) core website pages, unless otherwise agreed in writing;
- Website navigation and page structure;
- Contact and lead-generation forms;
- Calls-to-action;
- Basic website security configuration; and
- Basic analytics and conversion tracking configuration.
Basic Search Engine Optimization
- Page title and meta description optimization;
- Heading structure;
- Image alternative text;
- Basic technical SEO;
- Search engine indexing configuration; and
- Google Search Console setup where applicable.
The Services are limited to the items expressly stated in this Section or otherwise agreed to in writing by the Parties.
2. One-Time Project Fee
The Client agrees to pay the Service Provider a one-time project fee of $1,000 CAD for the Services described in this Agreement.
Unless otherwise agreed in writing, the full project fee is due upon acceptance of this Agreement.
The Service Provider is not required to begin work until the required payment has been received.
The Service Provider is not currently adding GST/HST to the stated project fee. If applicable taxes become legally required, they may be added where required by law.
The $1,000 project fee applies only to the scope of work described in this Agreement. Any additional services, pages, functionality, integrations, redesigns, or other work outside the agreed scope may be subject to additional fees and must be separately approved by the Client.
3. Revisions and Project Scope
The Service Provider will make reasonable revisions during the website development process to complete the agreed scope of work.
Revision requests must relate to the original project scope.
Requests that materially change the approved design, structure, functionality, number of pages, integrations, or other project requirements may be considered additional work and may require additional fees.
The Service Provider will inform the Client before performing work that would result in additional charges.
4. Website Hosting, Ownership, and Transfer
The website may be developed using a third-party website platform selected or recommended by the Service Provider.
Subject to payment of all amounts owing under this Agreement, the Client shall retain ownership of the content, branding, text, images, and other materials created specifically for the Client.
Ownership of any underlying platform, software, templates, plugins, hosting infrastructure, licensed materials, or third-party technology remains with their respective owners.
Where the website is initially developed within an account controlled or managed by the Service Provider, the Client may request that the website be transferred to the Client where the applicable platform technically supports such a transfer.
The Client shall be responsible for creating any required platform account, obtaining any required subscription or licence, and paying applicable third-party fees.
The Service Provider shall make reasonable efforts to complete the transfer but does not guarantee that any particular platform will allow the website to be exported, transferred, reproduced, or migrated.
Any rebuilding or migration required because a direct transfer is unavailable is outside the scope of this Agreement unless separately agreed in writing.
5. Excluded Services
Any service, task, deliverable, functionality, activity, expense, or obligation that is not expressly stated in this Agreement as being included within the Services shall be excluded from the scope of this Agreement.
Any additional work requested by the Client shall require separate written approval and may be subject to additional fees.
6. Third-Party Costs
Unless otherwise expressly agreed in writing, the project fee does not include third-party fees, subscriptions, licences, software costs, hosting fees, domain fees, plugins, premium applications, stock media, or other external charges.
The Client shall be responsible for any third-party costs required for the operation of the website unless the Parties agree otherwise in writing.
Where reasonably practicable, the Service Provider shall inform the Client before an additional third-party expense is incurred.
7. Client Responsibilities
The Client shall provide all information, materials, approvals, and access reasonably required to complete the project, including where applicable:
- Business and service information;
- Contact information;
- Branding materials;
- Images and media;
- Pricing information;
- Account access;
- Technical information; and
- Feedback and approvals.
The Client represents that all materials and information provided are accurate and that the Client has the necessary rights and authority to permit their use.
The Service Provider shall not be responsible for delays caused by the Client’s failure to provide required information, materials, access, feedback, or approvals.
8. Project Completion
The project shall be considered substantially complete when the website and agreed deliverables described in this Agreement have been completed and made available to the Client for use, launch, or transfer.
Client delays in providing information, approvals, content, access, or feedback may extend the project timeline.
Ongoing modifications or support requested after completion of the project are not included unless separately agreed in writing.
9. No Guarantee of Results
The Service Provider shall perform the Services in a professional and commercially reasonable manner.
The Service Provider does not guarantee any specific search engine ranking, website traffic, number of inquiries or leads, conversion rate, number of customers, sales level, revenue result, or other specific business result.
The Client acknowledges that search engine algorithms, competition, market conditions, customer behaviour, advertising activities, and other external factors are outside the Service Provider’s reasonable control.
10. Confidentiality
Each Party shall maintain the confidentiality of all non-public, confidential, or proprietary information received from the other Party in connection with this Agreement.
Neither Party shall disclose such information except where reasonably required to perform the Services, authorized by the other Party, or required by law.
11. Suspension or Termination of Work
The Service Provider may suspend or discontinue work where:
- Required payment is overdue;
- Required access is removed or withheld;
- Required information or approvals are not provided;
- The Client requests work that the Service Provider reasonably believes may be unlawful; or
- Continued performance would create a material legal, security, or operational risk.
Where reasonably practicable, the Service Provider shall provide notice before suspending or discontinuing work.
Any amounts already earned or owing before suspension or termination shall remain payable.
12. Independent Contractor
The Service Provider is engaged as an independent contractor.
Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency relationship, franchise, or other similar relationship between the Parties.
Neither Party shall have authority to bind the other Party except where expressly authorized in writing.
13. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada.
14. Entire Agreement
This Agreement constitutes the entire agreement between the Parties regarding the Services described herein and supersedes prior discussions, communications, representations, or understandings regarding those Services.
Any amendment or material change to this Agreement must be agreed to in writing by both Parties.
