Electronic Signatures and Electronic Agreements

1. Consent to Electronic Transactions

By using our website to review, accept, or enter into an agreement with Blue Rise Hub Corp. (“we,” “us,” or “our”), you consent to conducting the transaction electronically and to the use of electronic records, communications, acknowledgements, and signatures.

2. Electronic Signatures

Where you are presented with an agreement electronically, you may be asked to enter identifying information, confirm your agreement to the applicable terms, and select an “I Agree,” “Agree & Pay,” “Accept,” or similar button.

By completing these actions, you intend to electronically sign and enter into the applicable agreement. You agree that your electronic signature and electronic acceptance will have the same binding effect as your handwritten signature to the fullest extent permitted by applicable law.

3. Intent to Be Bound

By electronically signing or accepting an agreement, you confirm that:

  • you have had the opportunity to review the complete agreement before accepting it;
  • you understand and agree to its terms;
  • the information you provide during the signing process is accurate;
  • you intend your electronic action to constitute your signature and acceptance of the agreement; and
  • you understand that the agreement becomes legally binding when accepted in accordance with its terms.

4. Authority to Sign

If you are entering into an agreement on behalf of a company, corporation, partnership, organization, or other entity, you represent and warrant that you have the authority to enter into and legally bind that entity to the agreement.

5. Electronic Records and Copies

You consent to receiving agreements, notices, confirmations, invoices, receipts, and other transaction-related documents electronically, including through our website or by email.

Electronic copies of agreements and related records may be retained by us as part of our business records. You are encouraged to download or retain a copy of any agreement you enter into with us.

You may request a copy of an electronically executed agreement by contacting us using the contact information provided on our website.

6. Electronic Signature Records

To verify and document electronic transactions, we may create and maintain records associated with an electronic signature or acceptance. These records may include the signer’s name, business name, email address, date and time of acceptance, IP address, device or browser information, agreement version, transaction information, and other information reasonably necessary to establish the authenticity and integrity of the transaction.

These records may be used to administer the agreement, maintain business records, prevent fraud, resolve disputes, establish the validity of the transaction, and comply with legal obligations.

Our handling of personal information associated with electronic signatures is governed by our Privacy Policy.

7. Accuracy and Unauthorized Use

You are responsible for ensuring that the information submitted during the electronic signing process is accurate.

You must not electronically sign an agreement using another person’s identity or credentials without proper authorization.

If you believe an electronic agreement was accepted without your authorization, you must contact us promptly.

8. Changes After Execution

Once an agreement has been electronically executed, its substantive terms will not be changed retroactively without the agreement or consent required under the applicable contract or applicable law.

Any amendment that requires acceptance or signature may be presented for separate electronic acceptance.

9. Availability of Electronic Contracting

Electronic signatures may not be appropriate or legally permitted for every type of document. We reserve the right to require a handwritten signature or another form of verification where necessary or appropriate.

Nothing in these Terms is intended to authorize electronic execution of a document where electronic execution is prohibited by applicable law.

10. Applicable Law

Electronic transactions and electronic signatures will be interpreted in accordance with applicable Canadian and provincial law, including applicable electronic commerce and privacy legislation.
